Terms of Service

1. General 1.1. This document is a public offer (the “Terms”) of Sole Proprietor (Individual Entrepreneur) Ksenia Olegovna Usacheva (INN 772206846997, OGRNIP 324774600436282) (the “Provider”) and sets out the terms of use of the Talkarabicnow online Arabic-learning platform available at talkarabicnow.com (the “Platform” or “Service”). 1.2. The offer is addressed to any legally capable individual (the “User”) who intends to use the Service. 1.3. Acceptance of these Terms — full and unconditional acceptance of their conditions — is any of the following: registration on the website, starting to use the Service, or payment for the services. Upon acceptance, an agreement is concluded between the User and the Provider on the terms below. 2. Definitions “Account area” — the private section of the Service available to a registered User. “Plan” (Subscription) — recurring access to the Platform's tools for a chosen period. “Course” — a learning product with limited or unlimited access. “Cohort” — a Course delivered to a group on a schedule, including live sessions. “Content” — texts, audio, video, images, software and other materials of the Service. 3. Subject 3.1. The Provider grants the User access to the Platform's features to the extent corresponding to the selected Plan or purchased Course, and the User undertakes to pay for and use the services in accordance with these Terms. 3.2. The services are informational and educational in nature. The Platform's features include, in particular: the video-based trainer, the dialect translator with audio, the audio dictionary, AI-powered analysis tools and lessons, the e-library, online courses with video lessons, notes, trainers and tests, and — for certain plans — homework review by the teacher (the Provider, Ksenia Olegovna Usacheva) and participation in live sessions conducted by Ksenia Olegovna Usacheva. 4. Registration and account 4.1. Some features require registration. The User provides accurate information and keeps it up to date. 4.2. An account is personal. The User may not share access with third parties and is responsible for keeping their credentials safe and for all actions taken under their account. 4.3. The Service is intended for persons aged 18 and over. Persons under 18 use the Service with the consent and under the supervision of their legal representatives. 5. Services, plans and pricing 5.1. The current list of services, their contents and prices are published on the Platform (the “Pricing” and “Courses” sections) and form an integral part of these Terms. 5.2. Types of services: (a) a Platform Subscription (“Standard”, “Maximum”) for a chosen period; (b) one-time Courses — for self-paced study or in a Cohort format; (c) additional services (homework review, feedback, certificate) where provided by the Course plan; (d) free materials provided for familiarisation. 5.3. The Platform's composition and Course contents may be expanded and updated. The Provider may change prices; however, the price of a period or Course already paid for does not change for the User. 6. Payment 6.1. Payment is made in advance through payment providers: on talkarabicnow.com — via international payment providers. Prices are shown in the currency of the respective website. 6.2. A receipt is issued by the payment provider. Bank card details are not passed to or stored by the Provider. 6.3. Certain Courses may allow payment by instalments (two payments) and the use of promo codes. The terms of instalments and promo codes are specified at checkout. A promo code and instalments do not combine unless expressly stated. 6.4. A service is deemed rendered from the moment the User is granted access to the paid Plan or Course in the Account area. 7. Provision of services 7.1. Services are provided remotely. Access to a paid Plan or Course is granted automatically after payment is confirmed and appears in the Account area. 7.2. Live Cohort sessions are held on the schedule published on the Platform. Session recordings, where the plan provides for them, are kept in the Account area. The Provider may change the date and time of a session with prior notice to participants. Live sessions are conducted personally by the Provider, Ksenia Olegovna Usacheva. 7.3. In Courses with homework review, the User submits completed assignments via the Account area (including as text, a file, an image or a voice message), and the Provider, Ksenia Olegovna Usacheva, reviews them and gives feedback within a reasonable time. 8. Refunds 8.1. The User may cancel the services and request a refund by writing to baxgat@yandex.ru with the payment details. 8.2. For a Subscription, a refund is made for the unused (paid but not yet expired) period, less the cost of services actually rendered. 8.3. For Courses, a refund is made less the cost of services actually rendered: pro rata to the modules opened for study and the additional services provided. The cost of modules and materials the User has started, as well as sessions and reviews conducted for the User, is non-refundable. 8.4. Refunds are made to the original payment method within 10 (ten) business days of receiving the request. 9. Intellectual property 9.1. The Content and materials of the Platform, including the methodology, texts, audio, video, design and software, are the exclusive property of the Provider or are used by it on a lawful basis. 9.2. Access is granted solely for personal, non-commercial use. It is prohibited to copy, record, distribute, publish, resell or otherwise use the Content outside the Account area without the Provider's written consent. 10. User content 10.1. By submitting homework, reviews, audio and video materials, the User warrants that they hold the necessary rights to them and that their content does not infringe the rights of third parties or the law. 10.2. The User grants the Provider the right to use such materials to the extent necessary to provide the services (reviewing assignments, giving feedback, operating the Service). 11. AI-powered features 11.1. Certain Platform features (the translator, word analysis, lessons) rely on artificial-intelligence algorithms and may contain inaccuracies. They are for study and reference purposes and do not constitute professional translation or legal, medical or other advice. 12. Liability 12.1. The Service is provided “as is”. The Provider does not guarantee any specific learning outcome, as it depends on the User's own effort. 12.2. The Provider is not liable for interruptions caused by force majeure or by the actions of third parties and third-party services (hosting, payment systems, connectivity providers). 12.3. The Provider's aggregate liability is limited to the amount actually paid by the User for the services giving rise to the claim. 13. Term, amendment and termination 13.1. The agreement is effective from acceptance until the parties have fully performed their obligations. 13.2. The Provider may amend these Terms. A new version takes effect once published on the Platform. Continued use of the Service means agreement with the changes. 13.3. Either party may terminate the agreement; access to paid services remains until the end of the paid period, unless the “Refunds” section provides otherwise. 14. Disputes 14.1. Disputes are resolved through negotiation via a claim procedure; the deadline to respond to a claim is 15 business days. Failing agreement, a dispute is considered in accordance with the laws of the Russian Federation. 15.
